Service

By accessing or using PromptFlow ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and PromptFlow, operated by PromptFlow Inc. ("we," "us," or "our"). We reserve the right to update these Terms at any time, and your continued use of the Service after such changes constitutes acceptance of the updated Terms.

PromptFlow is an AI prompt engineering platform that transforms rough ideas into precision-crafted prompts optimized for various AI models. The Service includes prompt refinement, template libraries, agent building tools, version history, API access, and related features as described on our website. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

PromptFlow offers free and paid subscription plans. Paid plans are billed on a monthly or annual basis as selected at the time of purchase. All fees are charged in advance and are non-refundable except as expressly stated herein. Prices are listed in US dollars and are subject to change with 30 days' prior notice. Payment processing is handled by Stripe, Inc. By providing payment information, you authorize us to charge your payment method for the applicable subscription fees. If your payment fails, we may suspend access to paid features until payment is resolved.

We may offer a free trial period for paid plans. At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial expires. You will be charged the applicable subscription fee at the start of the first billing period following the trial. We reserve the right to limit free trials to one per user or household.

You may cancel your subscription at any time from your account settings. Upon cancellation, you will retain access to paid features through the end of your current billing period. No prorated refunds are provided for partial billing periods. After cancellation takes effect, your account will revert to the free plan. If you subscribed via an annual plan, you may request a refund within 14 days of the initial purchase if you have not made substantial use of paid features. You retain full ownership of all prompts, content, and materials you create or submit through the Service ("User Content"). We do not claim any intellectual property rights over your User Content. By using the Service, you grant us a limited, non-exclusive license to process your User Content solely for the purpose of providing and improving the Service. We will never use your prompts to train AI models, sell them to third parties, or make them publicly available. All other aspects of the Service, including but not limited to the software, design, branding, documentation, and optimization algorithms, are and remain the exclusive property of PromptFlow and are protected by applicable intellectual property laws.

You agree not to use the Service to: (a) generate, optimize, or distribute content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable; (b) violate any applicable local, state, national, or international law or regulation; (c) infringe upon the intellectual property rights of any third party; (d) attempt to gain unauthorized access to the Service, other accounts, or computer systems; (e) interfere with or disrupt the integrity or performance of the Service; (f) use automated means to access the Service beyond the scope of our API offering; or (g) resell, redistribute, or sublicense the Service without our prior written consent.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the collection and use of information as described in our Privacy Policy. We are committed to protecting your data and will never sell your personal information to third parties.

The Service may integrate with or contain links to third-party services, including but not limited to AI model providers, payment processors (Stripe), and authentication services (Supabase). We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is subject to their respective terms of service and privacy policies.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not guarantee that prompts optimized through the Service will produce specific results with any AI model. AI models and their behaviors are controlled by their respective providers and may change without notice.

To the maximum extent permitted by applicable law, PromptFlow and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Service. In no event shall our total liability exceed the amount you paid us in the twelve (12) months preceding the claim. This limitation applies regardless of the theory of liability, whether based on contract, tort, negligence, strict liability, or any other basis.

You agree to indemnify, defend, and hold harmless PromptFlow, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Service will immediately cease. You may request an export of your data within 30 days of termination by contacting us at team@deltaforce.agency. After 30 days, we may delete your account data in accordance with our data retention policies. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.
